Terms of Service
The agreement between you and ThreeCommas for using the marketplace, as a founder, a partner or both.

1. Who we are and what this covers
These terms are an agreement between you and ThreeCommas Ltd (company number 00000000, registered at Registered office address, London, United Kingdom) (“ThreeCommas”, “we”). They cover the website, the app and everything you do on them (the “Service”).
By creating an account you accept these terms, the Privacy Policy, the Acceptable Use Policy and, if you are a partner, the Partner Terms.
2. Eligibility and accounts
You must be at least 18 and able to form a binding contract. If you use the Service for a company, you confirm you can bind it, and “you” includes that company.
Keep your login secure and your details accurate. You are responsible for activity on your account. Tell us at once at support@threecommas.example if you think it has been compromised.
3. Founders and partners
A founder lists a software business, connects data sources and posts opportunities. A partner applies to opportunities and helps a business win customers in return for commission. One account can be both.
4. We are a marketplace
ThreeCommas provides the platform where founders and partners meet, agree terms and settle commissions. We are not a party to any partnership agreement, and we are not the employer, agent or representative of any founder or partner. We do not guarantee that any partnership will produce revenue.
We collect statements from businesses and pay partners on the businesses’ behalf, as a limited payment collection agent, using Stripe. Funds are held by Stripe, not in our own accounts.
5. Listings and verified data
Founders are responsible for the accuracy of everything they publish that is not read from a connected source.
Figures marked verified are calculated by us from data read, with read-only access, from the founder’s own Stripe, Google Search Console or Google Analytics account. They are only as accurate as that data and our methods, may lag by up to a few hours, and are not audited financial statements. Do not rely on them as the only basis for an investment or employment decision.
6. Listing subscription
Publishing a business requires a monthly subscription (currently USD 20 per business, shown before you pay). It renews automatically each month until cancelled. You can cancel any time; the listing stays live until the end of the paid period.
Fees are not refundable except where the law requires or where we end the Service for reasons that are not your fault, in which case we refund the unused part.
Ending a subscription does not end obligations to partners: commissions on customers already attributed keep accruing and are billed for the tail period in each partnership agreement.
7. Commissions, holds and reversals
Commission is calculated per partnership agreement on amounts customers actually paid, excluding tax and net of refunds. Each line is held for 30 days (or the hold in the agreement) before it can be billed.
Refunds and chargebacks inside the hold reduce or cancel the line. After the hold, they create a reversal line that is netted against the next statement and the partner’s next payout (a clawback). Amounts are never edited in place.
ThreeCommas charges a fee of 10% of each commission line (or the fee shown in the agreement). The fee is taken from the partner’s commission, not added on top.
8. Statements and authorisation to charge
On the 1st of each month we issue each business a statement of payable lines. The founder has five days to dispute lines. You authorise us to charge the saved payment method for the statement total on day six, and to retry on days 3, 5 and 7 after a failure.
If a statement is 14 days overdue we may pause the business’s opportunities, show its partners an overdue notice and suspend the listing until it is paid.
9. Payouts
We pay collected commissions to partners weekly once their balance reaches the minimum shown in the app (currently USD 50), through Stripe where available or by bank transfer, Wise or PayPal elsewhere. Partners must provide accurate payout and tax details. We may delay a payout to complete identity, sanctions or fraud checks.
10. Non-circumvention
If a founder and partner meet on ThreeCommas, they agree not to move a partnership off the platform to avoid fees for 12 months after the partnership ends (the “tail”). Commission for customers attributed during that time remains payable through ThreeCommas.
11. Prohibited conduct
You must not: send spam or unsolicited bulk messages; register fake, duplicate or self-referred leads; refer yourself, your own company or your employer; misrepresent a business, product, earnings or relationship; offer or accept bribes or kickbacks; scrape the Service; or break the Acceptable Use Policy.
12. Your content
You keep ownership of what you upload. You give us a worldwide, non-exclusive, royalty-free licence to host, display and distribute it to operate and promote the Service, including showing published listings and badges publicly.
13. Confidentiality
Some data is shared only with partners or signed-in users (for example partner-only metrics, leads, agreements and messages). Keep it confidential, use it only for the partnership, and do not share it outside the Service.
14. Suspension and termination
You can close your account at any time from settings, after outstanding statements are paid. We may suspend or end accounts that break these terms, create risk, or for legal reasons, with notice where we reasonably can. Sections that by their nature should survive (fees owed, commissions in tail, liability, disputes) survive termination.
15. Disclaimers, liability and indemnity
The Service is provided “as is”. To the extent the law allows, we exclude implied warranties.
Our total liability arising from the Service in any 12 months is limited to the greater of the fees you paid us in that period and USD 100. We are not liable for indirect or consequential loss, lost profits or lost data. Nothing limits liability that cannot be limited by law, such as for death or personal injury caused by negligence, or fraud.
You will indemnify us against claims arising from your content, your partnerships or your breach of these terms.
16. Disputes and governing law
Disputes about a commission line or a lead decision go first through the in-app dispute process. Otherwise, contact legal@threecommas.example and we will try to resolve it within 30 days. These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that consumers may also bring claims where they live.
17. Changes
We may update these terms. For material changes we give at least 30 days’ notice in the app and by email and ask you to accept the new version; if you do not, you can close your account before it takes effect.
